Mumbai, Oct. 1 -- Arisinfra Solutions will increase its holding in Buildmex-Infra to 92% by acquiring 16,000 shares for Rs. 600 mn in cash. The company's board approved the transaction at a meeting on 28 September, with completion scheduled on or before 30 September. The seller, Balavignesh Subramani, is not related to Arisinfra, and the transaction does not require government approval.

The acquisition will raise Arisinfra's stake from 76% to 92% in Buildmex-Infra, which supplies and trades raw materials for infrastructure projects and buildings. Incorporated in July 2021, Buildmex-Infra reported turnover of Rs. 179.3 mn in FY24, Rs. 703.6 mn in FY25 and Rs. 1.79 bn in FY26. The figures represent roughly a tenfold increase over two years.

Based on the acquisition price, the transaction values Buildmex-Infra at about Rs. 3.75 bn. Arisinfra said the increased ownership would allow shareholders to capture a larger share of value from the business. It added that the cash outflow would be offset by an equivalent reduction in trade deposits and advances, leaving cash levels unchanged.

The board also approved a guarantee of up to Rs. 200 mn for debentures that Lionheart Trading plans to issue in favour of Texterity. Lionheart Trading, formerly known as Arisinfra Trading, is a wholly owned subsidiary. The guarantee is a contingent liability, with Arisinfra required to make payment only if the subsidiary fails to meet its obligations, and the company said it currently expects no impact.

Arisinfra's revenue from operations increased 39.1% to Rs. 10.67 bn in FY26. Its shares touched a high of Rs. 133 on 29 September and were trading at Rs. 133 on the NSE at 10:59 am, up Rs. 0.39, or 0.29%, from the previous close. The stock had reached a low of Rs. 129.33 and was up 3.60% in 2026, but down 12.10% over one month and below its 52-week high of Rs. 178.30.
