India, June 15 -- ODNB Financial Corp., the parent of Old Dominion National Bank, and National Capital Bancorp, Inc. (NACB), the parent of The National Capital Bank of Washington, on Monday announced a merger agreement under which NACB will merge into ODNB, with ODNB as the surviving bank holding company.

ODNB said the transaction will create a bank holding company with approximately $2.4 billion in assets.

The combined company, to be named National Capital Bancorp, is expected to list its shares on Nasdaq or the New York Stock Exchange under the ticker NACB.
